Podcast Sponsorship Agreement Terms and Conditions

  • 1. Parties
    This Podcast Sponsorship Agreement ("Agreement") is entered into between Jag Journey, LLC ("Company"), a limited liability company with its principal place of business at 23505 E Appleway, Suite 200-183, Liberty Lake, WA 99019, operating the *Chase & Embrace Show* ("Podcast"), and the sponsoring entity or individual ("Sponsor") agreeing to these terms. The Podcast is hosted on the website https://chase-and-embrace.reforgedapp.com/ and the YouTube channel http://www.youtube.com/@chaseandembrace.
 
  • 2. Purpose
    The purpose of this Agreement is to outline the terms under which the Sponsor will provide financial or in-kind support to the *Chase & Embrace Show* in exchange for promotional consideration as outlined herein.
 
  • 3. Sponsorship Details
    **Sponsorship Tier**: The specific sponsorship package (e.g., monetary amount, duration, or in-kind contribution) will be agreed upon in writing between the Company and the Sponsor prior to the execution of this Agreement.

    **Deliverables**: The Company agrees to provide the Sponsor with promotional mentions, advertisements, or other agreed-upon benefits (e.g., verbal shout-outs, logo placement, or links in show notes) as specified in the sponsorship package. These deliverables will occur exclusively on the *Chase & Embrace Show* YouTube channel (http://www.youtube.com/@chaseandembrace) and/or the website (https://chase-and-embrace.reforgedapp.com/).

    **Content Approval**: The Sponsor may provide promotional materials (e.g., scripts, logos, or links), which must be submitted to the Company for approval at least five (5) business days prior to the scheduled promotion. The Company reserves the right to reject any materials deemed inappropriate, offensive, or inconsistent with the Podcast’s values.

  • 4. Term and Termination
    **Term**: This Agreement shall commence on the date of signing and continue for the duration specified in the sponsorship package, unless terminated earlier as provided herein.

    **Termination**: Either party may terminate this Agreement with written notice if the other party breaches any material term and fails to cure such breach within ten (10) days of receiving notice. The Company may also terminate this Agreement immediately if the Sponsor’s actions or materials harm the reputation of the *Chase & Embrace Show* or Jag Journey, LLC. Upon termination, the Company will cease all promotional activities, and no refunds will be issued for payments already made unless otherwise agreed in writing.

 
  • 5. Payment


    **Fees**: The Sponsor agrees to pay the Company the agreed-upon sponsorship fee or provide the agreed-upon in-kind contribution as outlined in the sponsorship package.

    **Payment Terms**: Payment must be made in full within five (5) business days of signing this Agreement, unless otherwise agreed in writing. Payments shall be made via methods specified by the Company (e.g., check, bank transfer, or other). Late payments may incur a fee of maximum allowed by WA State law but first month will be 1% per month on the outstanding balance.

    **No Refunds**: All payments are non-refundable unless the Company fails to deliver the agreed-upon promotional benefits due to its own fault.

  • 6. Intellectual Property
    **Sponsor Materials**: The Sponsor grants the Company a non-exclusive, royalty-free license to use the Sponsor’s name, logo, and provided materials solely for the purpose of fulfilling this Agreement.
    **Podcast Content**: All content created by the Company for the *Chase & Embrace Show*, including episodes and promotional materials (excluding Sponsor-provided materials), remains the exclusive property of Jag Journey, LLC. The Sponsor shall not reproduce, distribute, or modify such content without prior written consent.

  • 7. Representations and Warranties
    **By the Sponsor**: The Sponsor represents that it has the right to use any materials provided to the Company and that such materials do not infringe on any third-party rights or violate any laws.
    **By the Company**: The Company represents that it will perform the promotional services in a professional manner consistent with industry standards.

  • 8. Limitation of Liability
    The Company shall not be liable for any indirect, incidental, or consequential damages arising from this Agreement, including but not limited to loss of profits or business opportunities. The Company’s total liability shall not exceed the amount paid by the Sponsor under this Agreement.

  • 9. Indemnification
    The Sponsor agrees to indemnify and hold harmless Jag Journey, LLC, its affiliates, and its representatives from any claims, damages, or losses arising from the Sponsor’s materials, actions, or breach of this Agreement.

  • 10. Independent Contractor Status
    The Sponsor and the Company are independent entities. This Agreement does not create a partnership, joint venture, or employment relationship between the parties.

  • 11. Governing Law
    This Agreement shall be governed by and construed in accordance with the laws of the State of Washington, without regard to its conflict of law principles. Any disputes arising under this Agreement shall be resolved in the courts of Spokane County, Washington.


  • 12. Miscellaneous


    **Entire Agreement**: This Agreement constitutes the entire understanding between the parties and supersedes all prior agreements or understandings, whether written or oral.

    **Amendments**: Any amendments to this Agreement must be made in writing and signed by both parties.

    **Severability**: If any provision of this Agreement is found to be unenforceable, the remaining provisions shall remain in full force and effect.

    **Notices**: All notices under this Agreement shall be sent via email to the Company at [email protected] or [email protected], or to the Sponsor at the email address provided upon signing.
